1.Establishment of a Japanese corporation

2.Establishment of Japanese branch offices

The Japanese branch is a business, or branch office that is established and registered when a foreign corporation is based in Japan and continuously conducts business activities.

3.Establishment of resident offices

The establishment of a resident office is a preparatory base for collecting information, advertising and advertising, procurement of goods, and market research in order to conduct full-scale business in Japan.

4.Round trip on short-term resident visa (short-term business visa)

A short-term (business) visa is a visa given to business contacts, sightseeing, and relatives who stay in Japan for a short period of time. It is also called a tourist visa. Procedure for Establishment of Japanese Corporations (Corporate Companies)

<1> Determination of basic matters of joint stock companies

It determines the company’s trade name, head office location, purpose of the company’s articles of incorporation, capital, and officers. In order to establish a joint-stock company in Japan, one of the representative directors must have an address in Japan. In other words, we cannot establish a company in Japan if all the directors live abroad.

<2>Preparation and certification of articles of incorporation of stock companies

The articles of incorporation include the total number of shares outstanding and the business year in addition to the details determined in <1>. The articles of incorporation require notary certification. Regarding the registration of the articles of incorporation and the attachment of the certificate of seal, foreigners who have already registered in Japan can obtain a seal impression certificate in the same way as Japanese.On the other hand,a seal or signature certified by the official government of the home country is required instead of a registered seal  when foreigners living abroad are invited to participate as investors or directors. You need to attach a signature certificate or a certificate from the official government of your home country instead of a seal certificate.

<3>Payment of capital

The payment of the company’s capital is made by depositing or transferring money to the incorporator’s (investor’s) account. As for financial institutions that make payments, it is necessary that they are banks (financial institutions) approved by the Japanese Financial Services Agency. You cannot transfer capital into your own country’s bank account.

<4>Preparation of other documents etc.

We will prepare documents necessary for the registration application such as the director’s acceptance of office, a document certifying that the payment has been made, and a certificate of capital accounting.

<5>Application for incorporation registration

You can apply for registration with the competent Legal Affairs Bureau of the head office of the company when all the documents are ready.

Types of corporations that can be established in Japan

In the new Companies Act of 2006, the types of companies that can be established are:

  • “Corporate Company”
  • “Limited Liability Company”
  • “Limited Partnership Company”
  • “General partnership”

in these four types, “Limited Liability Companies” could not be established after the enforcement of the new Companies Act. Only companies that existed as limited liability companies before the enforcement of the new Companies Act can call themselves “Special Limited Liability Companies,” but they are treated as “incorporated companies” under the Companies Act.
